Terms of Use

Please read the following terms and conditions carefully, as they form the agreement between us.

You must be twenty-one or over to register as a member of CnBay.com or use the Website. Membership in the Service is void where prohibited.

This Agreement constitutes your agreement with CnBay with respect to your use of the Service. You must agree to abide by all of the terms and conditions contained in this Agreement in order to become or remain an authorized user of the Service. As used in this Agreement, "we" and "us" means CnBay or any successor or assign of CnBay.

Fees and Payments THE PURCHASE OF A MEMBERSHIP IS NON-REFUNDABLE. Any unused membership time will remain credited to your account but will not be refunded if unused, even if you are no longer using the Service. Membership time will only be credited to the account of the Full Member purchasing the membership, and to no one else. We may change the fees and charges in effect for using the Service, or add new fees or charges, by posting new fees and changes on the site from time to time.

Code of Conduct You agree to use the Service in accordance with the following Code of Conduct:

1. You will keep all information provided to you through the Service as private and confidential and will not give such information to anyone without the permission from CnBay.com;
2. The Website is for the personal use of individual Members only and may not be used in connection with any commercial endeavors. Organizations, companies, and/or businesses may not become Members and should not use the Service or the Website for any purpose. Illegal and/or unauthorized uses of the Website, including collecting usernames and/or email addresses of members by electronic or other means for the purpose of sending unsolicited email and unauthorized framing of or linking to the Website will be investigated, and appropriate legal action will be taken, including without limitation, civil, criminal, and injunctive redress.
3. By posting Content to any public area of CnBay.com, you automatically grant, and you represent and warrant that you have the right to grant, to CnBay.com an irrevocable, perpetual, non-exclusive, fully paid, worldwide license to use, copy, perform, display, and distribute such information and content and to prepare derivative works of, or incorporate into other works, such information and content, and to grant and authorize sublicenses of the foregoing.
4. You will not use the Service to distribute or up load any virus, Trojan horses or do anything else that might cause harm to the Service, CnBay.com systems or to other members' systems in any way.
5. The following is a partial list of the kind of Content that is illegal or prohibited on the Website. CnBay.com reserves the right to investigate and take appropriate legal action in its sole discretion against anyone who violates this provision, including without limitation, removing the offending communication from the Service and terminating the membership without refund of such violators. It includes Content that:

• is patently offensive to the online community, such as Content that promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;
• harasses or advocates harassment of another person;
• involves the transmission of "junk mail", "chain letters," or unsolicited mass mailing or "spamming";
• promotes information that you know is false, misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous;
• promotes an illegal or unauthorized copy of another person’s copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacture-installed copy-protect devices, or providing pirated music or links to pirated music files;
• contains restricted or password only access pages, or hidden pages or images (those not linked to or from another accessible page);
• provides material that exploits people under the age of 18 in a sexual or violent manner, or solicits personal information from anyone under 18;
• provides instructional information about illegal activities such as making or buying illegal weapons, violating someone’s privacy, or providing or creating computer viruses;
• solicits passwords or personal identifying information for commercial or unlawful purposes from other users; and
• engages in commercial activities and/or sales without our prior written consent such as contests, sweepstakes, barter, advertising, and pyramid schemes.
• You may not engage in advertising to, or solicitation of, other Members to buy or sell any products or services through the Service. You may not transmit any chain letters or junk email to other Members.

Proprietary Information The Service contains information which is proprietary to us or our partners, and our users. We assert full copyright protection in the Service. Information posted by us, our partners or users of the Service may be protected whether or not it is identified as proprietary to us or to them. You agree not to modify, copy or distribute any such information in any manner whatsoever without having first received the express permission of the owner of such information. Privacy and Use of Information You may not use the Service for any unlawful purpose. We may refuse to grant you a username that we feel is inappropriate, impersonates someone, is protected by trademark or proprietary law, or is vulgar or otherwise offensive, as determined by us in our sole discretion.

You acknowledge that (a) we cannot ensure the security or privacy of information you provide through the Internet and your email messages, and you release us from any and all liability in connection with the use of such information by other parties; (b) we are not responsible for, and cannot control, the use by others of any information which you provide to them and you should use caution in selecting the personal information you provide to others through the Service; and (c) we cannot assume any responsibility for the content of messages sent by other users of the Service, and you release us from any and all liability in connection with the contents of any communications you may receive from other users. We cannot guarantee, and assume no responsibility for verifying, the accuracy of the information provided by other users of the Service.

Termination of Access to Service Even after membership is terminated, this Agreement will remain in effect.  We may, in our sole discretion, terminate or suspend your access to all or part of the Service at any time, with or without notice, for any reason, including, without limitation, breach of this Agreement. Without limiting the generality of the foregoing, any fraudulent, abusive, or otherwise illegal activity, or that which may otherwise affect the enjoyment of the Service or the Internet by others may be grounds for termination of your access to all or part of the Service at our sole discretion, and you may be referred to appropriate law enforcement agencies. 

No Warranties The Service is distributed on an "as is" basis. We do not warrant that this Service will be uninterrupted or error-free. There may be delays, omissions, and interruptions in the availability of the Service. Where permitted by law, you acknowledge that the Service is provided without any warranties of any kind whatsoever, either express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose. You acknowledge that use of the Service is at your own risk. We guarantee the true identity (including legal name, age, gender) of all published members based on the official documents supplied by the members. However, we do not represent or endorse the accuracy or reliability of any member’s opinion, statement or other information displayed, uploaded or distributed through the Service by CnBay.com, our partners or any user of the Service or any other person or entity. You acknowledge that any reliance upon any such opinion, member profile, advice, statement or information shall be at your sole risk.

Security Your account is private and should not be used by anyone else. You are responsible for all usage or activity on the Service by users using your password, including but not limited to use of your password by any third party.

External Links The Service may from time to time contain links to other Internet sites and resources ("External Links"). You acknowledge that we are not responsible for, and have no liability as a result of, the availability of External Links or their contents. We suggest that you review the terms of use and privacy statement of such External Links prior to use of them.

Disclosure and Other Communication We reserve the right to send electronic mail to you, for the purpose of informing you of changes or additions to the Service, or of any CnBay.com related products and services. We reserve the right to disclose information about your usage of the Service and demographics in forms that do not reveal your personal identity.

And by your use of the Service, you consent to such disclosures and communications subject to the terms of our Privacy Statement.

Assignment You do not have the right to assign this Agreement or any of your rights to the Service to anyone. CnBay.com has the sole right to assign any or all of its rights and duties under this Agreement to any third party. At the election of CnBay.com if CnBay.com’s obligations hereunder are assumed by a third party, CnBay.com shall be relieved of any and all liability under this Agreement.

Member Disputes. You are solely responsible for your interactions with other CnBay.com Members. CnBay.com, Inc. reserves the right, but has no obligation, to monitor disputes between you and other Members.

Disclaimers. CnBay.com is not responsible for any incorrect or inaccurate Content posted on the Website or in connection with the Service, whether caused by users of the Website, Members or by any of the equipment or programming associated with or utilized in the Service. CnBay.com is not responsible for the conduct, whether online or offline, of any user of the Website or Member of the Service. CnBay.com assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, user or Member communications. CnBay.com is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of email or players on account of technical problems or traffic congestion on the Internet or at any Website or combination thereof, including injury or damage to users and/or Members or to any other person's computer related to or resulting from participating or downloading materials in connection with the Web and/or in connection with the Service. Under no circumstances will CnBay.com be responsible for any loss or damage, including personal injury or death, resulting from anyone's use of the Website or the Service, any Content posted on the Website or transmitted to Members, or any interactions between users of the Website, whether online or offline. The Website and the Service are provided "AS-IS" and CnBay.com expressly disclaims any warranty of fitness for a particular purpose or non-infringement. CnBay.com cannot guarantee and does not promise any specific results from use of the Website and/or the Service.

Limitation on Liability. Except in jurisdictions where such provisions are restricted, in no event will CnBay.com be liable to you or any third person for any indirect, consequential, exemplary, incidental, special or punitive damages, including also lost profits arising from your use of the Website or the Service, even if CnBay.com has been advised of the possibility of such damages. Notwithstanding anything to the contrary contained herein, CnBay.com’s liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to CnBay.com for the Service during the term of membership.

Disputes. If there is any dispute about or involving the Website and/or the Service, by using the Website, you agree that the dispute will be governed by the laws of the State of Florida without regard to its conflict of law provisions. You agree to personal jurisdiction by and venue in the state and federal courts of the State of Florida, City of Tampa.

Indemnity You agree to indemnify us, our officers, directors, employees and agents, from any loss or damages, including without limitation reasonable legal fees, which we may suffer from your activities on or use of the Service, including without limitation any breach by you of this Agreement or any charges or complaints made by other parties against you. You shall cooperate as fully as reasonably required in the defense of any claim. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you; provided, however, that you shall remain liable for any such claim.

Modifications We may modify this Agreement from time to time. Notification of changes in this Agreement will be posted on the Service. If you do not agree to any modifications, you should terminate your use of the Service. Your continued use of the Service now, or following the posting of notice of any changes in this Agreement, will constitute a binding acceptance by you of this Agreement, or any subsequent modifications.

Governing Law You agree that this Agreement will be governed by the laws of the State of Florida and any disputes arising out of this Agreement will be subject to the courts of the state of Florida and the federal courts applicable within the state. If any provision in this Agreement is invalid or unenforceable under applicable law, the remaining provisions will continue in full force and effect. This Agreement will not be governed by the United Nations Convention on Contracts for the International Sale of Goods.

Other This Agreement, accepted upon use of the Website and further affirmed by becoming a Member of the Service, contains the entire agreement between you and CnBay.com regarding the use of the Website and/or the Service. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect.
